1. Agreement to Terms

Welcome to IO Cognition. By accessing or using our AI chatbot platform and services (the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you (whether personally or on behalf of an entity) and IO Cognition regarding your use of the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of those changes.

2. Account Registration and Security

To use our Service, you must create an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your password and account
Accept all responsibility for activities that occur under your account
Notify us immediately of any unauthorized use of your account
Verify your email address before accessing the Service

You must be at least 18 years old to create an account. By creating an account, you represent that you are of legal age to form a binding contract.

3. Service Description

IO Cognition provides a platform that enables you to:

Create and deploy AI-powered chatbots
Train chatbots using various data sources including websites, PDFs, Word documents, text files, and spreadsheets
Customize chatbot appearance and behavior
Embed chatbots on your websites
Track and analyze chatbot conversations
Export conversation history and data

The Service uses third-party AI technology, including but not limited to OpenAI's API, to power chatbot responses. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.

4. Subscription and Billing

4.1 Subscription Plans

We offer various subscription tiers with different features and usage limits. Subscription details, including pricing and features, are available on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Payment Processing

Payment processing is handled by Stripe, a third-party payment processor. You agree to provide accurate and complete billing information. All payments are non-refundable except as required by law or as explicitly stated in these Terms.

4.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize us to charge your payment method for renewal fees.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. You will retain access to paid features until the end of your billing period.

4.5 Credits and Usage Limits

Your subscription includes a monthly credit allocation for AI interactions. Credits reset at the beginning of each billing period and do not roll over. Additional credits may be purchased separately.

5. User Responsibilities and Acceptable Use

5.1 Content Responsibility

You are solely responsible for all content you upload, train your chatbots with, or generate through the Service. This includes but is not limited to:

Documents, files, and data uploaded for training
Website content crawled and indexed
Chatbot configurations and custom responses
Conversations conducted through your chatbots

5.2 Prohibited Uses

You agree not to use the Service to:

Violate any applicable laws or regulations
Infringe upon the intellectual property rights of others
Upload malicious code, viruses, or harmful content
Harass, abuse, or harm others
Distribute spam or unsolicited messages
Impersonate any person or entity
Collect personal information without consent
Scrape, crawl, or harvest data from the Service
Circvent any technical limitations or usage restrictions
Resell or redistribute the Service without authorization
Generate or promote illegal, harmful, or fraudulent content
Create chatbots that provide medical, legal, or financial advice without proper disclaimers

5.3 Compliance with Laws

You are responsible for ensuring that your use of the Service complies with all applicable laws, including but not limited to data protection laws (GDPR, CCPA), accessibility requirements, and consumer protection regulations.

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to the content you upload to the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and display your content solely for the purpose of providing the Service to you.

6.2 Our Service

The Service, including all software, designs, text, graphics, logos, and other content (excluding your uploaded content), is owned by IO Cognition and is protected by copyright, trademark, and other intellectual property laws.

6.3 AI-Generated Content

You own the output generated by your chatbots. However, similar output may be generated for other users, and the underlying AI models are not exclusive to you. We claim no ownership over AI-generated content.

7. Data Collection and Privacy

We collect and process personal data as described in our Privacy Policy. By using the Service, you consent to such collection and processing. Key points include:

We collect user profile information, uploaded content, and conversation data
We use third-party services (OpenAI, Stripe, Mailjet) that may access your data
Conversation data is stored and may be used to improve the Service
We implement security measures to protect your data but cannot guarantee absolute security
You can request deletion of your data by contacting support

If you collect personal information from end-users through your chatbots, you are responsible for complying with all applicable privacy laws and providing appropriate privacy notices.

8. Third-Party Services and Content

The Service integrates with third-party services including OpenAI, Stripe, and others. Your use of these integrated services may be subject to their respective terms and policies. We are not responsible for:

The availability or performance of third-party services
Content crawled from third-party websites
Changes to third-party APIs or services that affect functionality
Third-party terms of service or privacy policies

9. Disclaimers and Limitations of Liability

9.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We reserve the right to modify, suspend, or discontinue the Service at any time.

9.2 AI Accuracy

We do not warrant the accuracy, reliability, completeness, or appropriateness of AI-generated responses. AI-generated content may contain errors, biases, or inappropriate material. You are responsible for reviewing and monitoring chatbot responses.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IO COGNITION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless IO Cognition and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Service
Your content and chatbots
Your violation of these Terms
Your violation of any rights of another party

11. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for:

Violation of these Terms
Fraudulent or illegal activity
Non-payment of fees
Extended periods of inactivity

Upon termination, your right to use the Service immediately ceases. We may delete your account data after a reasonable period. Termination does not relieve you of any payment obligations.

12. Dispute Resolution and Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which IO Cognition operates, without regard to conflict of law principles.

Any disputes arising out of or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration association.

13. General Provisions

13.1 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the modified Terms.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13.3 Entire Agreement

These Terms constitute the entire agreement between you and IO Cognition regarding the Service and supersede all prior agreements and understandings.

13.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms at any time without notice.

13.5 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
